TERMS & CONDITIONS

These Terms and Conditions comprise the terms and conditions under which Redcage Solutions Inc will supply software licenses, hardware, and/or professional services. You accept these terms and conditions on behalf of the company you represent when placing an order with Redcage Solutions Inc.

  1. Payment Terms
  • All payments are due in full at the time of placing an order, unless other terms have been established with Redcage Solutions Inc.
  • Redcage Solutions Inc. will accept the following forms of payment: Electronic Fund Transfers, Company Cheques, Mastercard, Visa, or American Express (subject to a 3% service fee).
  • Financing options are available.
  • Overdue invoices are subject to 2% monthly interest charge.
  1. Quoted Prices:
  • All prices quoted are in Canadian currency unless otherwise stated.
  • All quoted prices are subject to taxes, where applicable.
  • Prices are subject to changes without notice.  Redcage Solution Inc. will do our best to honour any quoted price for 30 days from the date of issuance, unless otherwise stated; however, manufacturer's prices will ultimately dictate, where applicable.
  1. Professional Services:
  • All professional services need to be paid in full prior to the commencement of the first session, unless otherwise stated.  Professional services not paid prior to the start of the first session are subject to cancellation by Redcage Solutions Inc. and Redcage Solutions Inc. can not be held liable for any damages or losses due to any cancellation.
  • Each full day of services consists of 7 hours of deliverable services, unless otherwise specified.
  • No more than six (6) persons per session.  A list in writing of the trainees is to be provided to Redcage Solutions Inc. prior to the first session
  • Redcage will provide a laptop with all relevant software loaded for the purposes of all sessions.  The current version of the software will be used unless otherwise specified.
  • Redcage must be informed, in writing, of any changes to the agreed upon Statement of Work and reserves the right, at their sole discretion, to decline any requested changes once services commence.  For changes to scheduled dates, Redcage requires five (5) business days notice to cancel or reschedule any scheduled professional services.  If a cancellation is required within the 5-day notice period, the customer agrees to forfeit the fees associated to those hours or day(s).  Cancellations due to unforeseen emergency situations such as inclement weather are not applicable to this policy.
  • Although Redcage will pre-assign resources to professional services, Redcage reserves the right to make changes to resources at our sole discretion.
  • All professional service must be fulfilled within one year of the signed Statement of Work or fees will be forfeited, unless otherwise noted.
  1. Autodesk Licensing and Contracts
  • Manufacturer’s Suggested Retail Price (MSRP) and any Autodesk Promotion pricing bares the Terms and Conditions of Autodesk.
  • Autodesk software is now delivered by Electronic License (ELD) by default. Physical media will no longer be provided free of charge, but media kits are available at a nominal fee, per individual software application.
  • Autodesk no longer allows for late contract renewals.  Therefore, it is strongly recommended that the customer process their contract renewal orders with Redcage at least five (5) business days prior to the renewal date.  Renewal dates that fall on weekend or statutory holiday dates need to be processed the business day prior.  Redcage does not assume any responsibility or liability for any contract cancellations due to late renewals.  If a late renewal is accepted by Autodesk, the customer is responsible for any applicable late fees.
  • Any upgrades, cross-grades, trade-ins or changes to contract types are subject to Autodesk’s rules and policies and may be subject to fees that Autodesk applies, which will be the responsibility of the customer.
  • Autodesk Auto-renewal licenses require a credit card on file.  Auto-renewal licenses will automatically be renewed on the renewal date without notice to the customer.  Cancellation of Auto-renewal licenses require cancellation notice five (5) business days prior to the auto-renewal date.
  • Autodesk’s Return Policy is thirty (30) days from the date of purchase.  In order to honour this return policy, the customer must notify Redcage within twenty-five (25) days of the date of purchase.

            5. Bluebeam Licensing and Contracts

  • Manufacturer’s Suggested Retail Price (MSRP) and any Promotion pricing bares the Terms and Conditions of Bluebeam.
  • License fulfillment is electronic and will be the current version of the software unless otherwise requested differently from the customer.
  • Any upgrades, cross-grades, trade-ins or changes to contract types are subject to Bluebeam’s rules and policies and may be subject to fees that Bluebeam applies, which will be the responsibility of the customer.
  • Bluebeam’s Return Policy is thirty (30) days from the date of purchase.  In order to honour this return policies, the customer must notify Redcage within twenty-five (25) days of the date of purchase.
  1. Leica Hardware, Software Licensing, and Contracts
  • Manufacturer’s Suggested Retail Price (MSRP) and any Promotion pricing bares the Terms and Conditions of Leica.
  • License fulfillment is electronic.
  • License fulfillment will be the current version of the software unless otherwise requested differently from the customer.
  • Any upgrades, cross-grades, trade-ins or changes to contract types are subject to Leica’s rules and policies and may be subject to fees that Leica applies, which will be the responsibility of the customer.
  • Product returns are subject to the Lecia’s Return Policies.
  1. Other Software Vendors (ClearEdge3D, Lumion, Chaos) Licensing and Contracts:
  • Manufacturer’s Suggested Retail Price (MSRP) and any Promotion pricing bares the Terms and Conditions of the applicable Vendor.
  • License fulfillment is electronic unless otherwise stated.
  • License fulfillment will be the current version of the software unless otherwise requested differently from the customer.
  • Returns are subject to the applicable vendor’s Return Policies.
  1. Acceptance of orders:
  • Unless otherwise noted herein, all orders must be placed with, and accepted by:

  • Orders will only be accepted when they have been submitted in writing, or, if placed by telephone, when our acknowledgment has been confirmed by email, fax, or mail.
  • If the customer has its own Terms and Conditions, it is the responsibility of the customer to identify differences between their Terms and Conditions and Redcage’s Terms and Conditions, and address them with Redcage; otherwise, Redcage’s Terms and Conditions supersede any Terms and Conditions of the customer.
  1. Confidentiality Clause:
  • Redcage Solutions Inc.’s terms and conditions shall be treated as confidential, and neither these terms and conditions herein or any quotation, proposal, or email communication, shall be used for any purpose unrelated, and shall not be disclosed to any third party in whole or in part.
  1. Mutual Indemnification and Limit of Liability:
  • Redcage Solutions Inc. and the customer agree to indemnify and hold harmless the other party against any claims/costs to the extent that they arise from the delivery and performance of software, hardware and/or professional services delivered by Redcage Solutions Inc.
  • Furthermore, in no event shall either Redcage Solutions Inc. or the customer be liable for any damages or losses including but not limited to lost data, revenue, profits, or ROI as a result of any professional services delivered by Redcage Solutions Inc.
